Welcome to Bativi & Dumitu Consulting. These Terms of Service govern your use of our website and services. Please read these terms carefully before accessing or using our services.

1. Agreement to Terms

By accessing or using our website and services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use our services.

2. Services Description

Bativi & Dumitu Consulting provides legal advisory services, business consulting, and executive coaching. Our services include but are not limited to:

• Corporate legal advisory and compliance services
• Business strategy development and implementation
• Startup incubation and advisory services
• Executive leadership coaching and development
• International business expansion advisory
• Risk assessment and management consulting

3. Professional Services Agreement

All professional services provided by Bativi & Dumitu Consulting are subject to a separate Professional Services Agreement that will be provided to clients before engagement. The terms of that agreement will supersede these Terms of Service with respect to the specific services described therein.

4. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Intellectual Property Rights

The content, features, and functionality of our website and services, including but not limited to text, graphics, logos, images, and software, are owned by Bativi & Dumitu Consulting and are protected by international copyright, trademark, and other intellectual property laws.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our services for your personal or internal business purposes.

Restrictions

You may not:

• Copy, modify, or create derivative works of our services or content
• Reverse engineer, decompile, or attempt to extract the source code of our services
• Use our services for any illegal or unauthorized purpose
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or networks

6. Client Responsibilities

As a client of our services, you agree to:

• Provide accurate and complete information necessary for us to provide our services
• Cooperate with our reasonable requests for information or documentation
• Make timely payments for services rendered
• Notify us promptly of any changes to your circumstances that may affect our services
• Use our advice and recommendations in good faith and in accordance with applicable laws

7. Fees and Payment

Our fees for services are as described in your Professional Services Agreement or on our website. Unless otherwise agreed in writing:

• Fees are payable in Canadian dollars
• Payment is due within 30 days of invoice date
• Late payments may be subject to interest charges of 1.5% per month
• You are responsible for any taxes associated with your purchase of our services

8. Confidentiality

We understand the sensitive nature of the information you share with us. We will maintain the confidentiality of all information you provide to us in accordance with our Privacy Policy and applicable professional standards and regulations.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, secure, or error-free. We do not guarantee specific results from the use of our services.

10. Limitation of Liability

To the maximum extent permitted by law, Bativi & Dumitu Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our services

11. Indemnification

You agree to defend, indemnify, and hold harmless Bativi & Dumitu Consulting and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our services or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

13. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice of such changes by updating the "Last Updated" date at the top of these Terms. Your continued use of our services after any modification constitutes your acceptance of the modified Terms.

14. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our services will immediately cease.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and Bativi & Dumitu Consulting regarding our services and supersede all prior and contemporaneous written or oral agreements between us.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
